Blackline Society Terms of Service


These Terms of Service ("Terms") govern your membership in and participation with the Blackline Society ("Society," "we," or "us"). By submitting an application, accepting an invitation, or participating in any Society activities, you agree to be bound by these Terms and the Blackline Code.


Membership Description


The Blackline Society is an exclusive, invitation-only automotive fellowship limited to 50 active members. We are not a club, not a brand, but a brotherhood of precision — drivers who understand that speed is nothing without discipline. Our services include organized track days, overnight driving excursions, monthly group drives, and anonymous charitable activities focused on our local community.

We want to clarify that the Blackline Society is in no way associated with any automotive manufacturer, racing organization, track facility, or social media platform mentioned in our communications. We are an independent fellowship of drivers. Any references to these entities are for illustrative or logistical purposes only and do not imply any endorsement, partnership, or affiliation with them.


Membership Requirements


Membership requires:

  • Annual dues of $1,250, due by January 10th each year

  • Participation in a minimum of one drive every six months

  • Participation in a minimum of one charitable act per year

  • Unanimous vote approval by existing members

  • Sponsorship by a current member in good standing

Failure to meet participation requirements or payment deadlines may result in removal from the Society.


Intellectual Property


All intellectual property rights associated with the Blackline Society, including but not limited to the emblem, logo, designs, documents, and any proprietary content, are the property of the Society and are protected by applicable intellectual property laws. The Blackline emblem may only be displayed by active members in good standing. You may not use, reproduce, modify, distribute, or publicly display any Society intellectual property without prior written consent.


Member Responsibilities


You are responsible for:

  • Maintaining active participation in Society activities

  • Upholding the standards outlined in the Blackline Code

  • Representing the Society with integrity and discretion

  • Ensuring your vehicle is well-maintained and capable

  • Driving safely and within your abilities at all times

  • Maintaining confidentiality regarding Society membership and activities

You agree not to engage in any activity that damages the reputation of the Society, endangers other members or the public, or violates the conduct standards outlined in our governing documents.


Safety and Conduct


Safety is absolute. Members must:

  • Stay off the yellow line on group drives

  • Never cut or cheat the centerline

  • Never outdrive their abilities or endanger others

  • Respect all traffic laws and venue rules

  • Avoid posting speedometer footage or street racing content

  • Treat all locations with respect and leave them as found or better

The Society does not condone street racing, reckless driving, or any activity that risks injury or property damage to anyone.


Privacy and Discretion


The first rule of Blackline Society: you do not talk about Blackline Society. The second rule: you do not talk about Blackline Society.

Members agree to maintain strict confidentiality regarding:

  • Membership roster and identity of other members

  • Internal Society communications and activities

  • Invitations and application processes

  • Any private information shared within the fellowship

This is not a social media club. We do not advertise, promote, or discuss the Society publicly.


Limitation of Liability


To the extent permitted by law, the Blackline Society and its members, officers, and representatives shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from or in connection with your participation in Society activities, including but not limited to:

  • Vehicle damage or mechanical failure

  • Personal injury sustained during drives or events

  • Accidents or incidents on public or private roads

  • Track day injuries or vehicle damage

Members participate in all activities at their own risk and are responsible for maintaining appropriate insurance coverage for their vehicles and persons.


Indemnification


You agree to indemnify, defend, and hold harmless the Blackline Society and its members, officers, and representatives from any claims, damages, liabilities, losses, or expenses arising out of or in connection with your participation in Society activities or any violation of these Terms or the Blackline Code.


Removal and Termination


We may remove any member from the Society at any time without prior notice for any reason, including but not limited to:

  • Violation of the Blackline Code or these Terms

  • Inactivity or failure to meet participation requirements

  • Unsafe driving or reckless behavior

  • Disrespect toward other members or the community

  • Association with criminal automotive groups

  • Non-payment of annual dues

  • Conduct that damages the Society's reputation

There are no refunds of annual dues for any reason, including removal or voluntary departure.


Governing Law


These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the state or federal courts located in Loudon County, Tennessee, and you consent to the jurisdiction of such courts.


Entire Agreement and Severability


These Terms, together with the Blackline Code and any other governing documents provided to members, constitute the entire agreement between you and the Blackline Society regarding your membership and supersede any prior agreements or understandings. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.


Amendments


The Society reserves the right to modify these Terms at any time. Members will be notified of significant changes. Continued participation in Society activities after such modifications constitutes acceptance of the updated Terms.
